1. Agreement to Terms
By accessing our website or engaging STR-AWS Cloud Infrastructure Solutions ("Company," "we," "our") for consulting services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Scope of Services
STR-AWS provides cloud infrastructure consulting services including, but not limited to:
- Artificial intelligence and machine learning architecture design
- Cloud security assessment, architecture, and implementation
- Infrastructure as Code development and deployment
- Performance optimization and cost engineering
- AWS Well-Architected Framework reviews
Specific deliverables, timelines, and fees for engagements are defined in separate Statements of Work (SOW) mutually agreed upon by both parties.
3. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to AWS accounts, systems, and documentation as required
- Designate a primary point of contact for communications
- Review and provide timely feedback on deliverables
- Maintain responsibility for production systems and deployment decisions
4. Intellectual Property
Unless otherwise specified in a Statement of Work:
- Client Materials: You retain all rights to your pre-existing intellectual property, data, and proprietary systems.
- Deliverables: Upon full payment, custom deliverables created specifically for your engagement are assigned to you.
- Tools & Methodologies: We retain ownership of our pre-existing tools, frameworks, templates, and methodologies used in service delivery. You receive a non-exclusive license to use these as part of delivered solutions.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This includes architecture designs, security configurations, access credentials, business strategies, and any information marked as confidential. This obligation survives termination of services.
6. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim.
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not liable for issues arising from client-implemented changes to delivered solutions without our guidance, third-party service outages, or force majeure events.
7. Indemnification
You agree to indemnify and hold harmless STR-AWS from any claims, damages, or expenses arising from your use of delivered solutions in violation of applicable laws, your breach of these terms, or your negligence or willful misconduct.
8. Service Availability
While we strive for continuous website availability, we do not guarantee uninterrupted access. Our website is provided "as is" without warranties of any kind. Consulting service availability is governed by individual Statements of Work.
9. Termination
Either party may terminate a consulting engagement with 30 days written notice, unless otherwise specified in the applicable SOW. Upon termination, client shall pay for all services rendered through the termination date. Sections regarding confidentiality, intellectual property, and limitation of liability survive termination.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with applicable arbitration rules.
11. Modifications
We reserve the right to modify these Terms of Service at any time. Changes become effective upon posting to this page. Continued use of our website or services after modifications constitutes acceptance of updated terms.
